RM2 are the UK’s leading adviser on employee share ownership to private companies. We install share schemes in private companies and, through our subsidiary RM2 Corporate Finance, we arrange change-of-control transactions to Employee Ownership Trusts (EOT).

Corporate Finance Associate

Due to a big increase in demand, RM2 Corporate Finance is seeking a Corporate Finance Associate with a minimum of three years’ relevant experience. “Relevant” means providing corporate finance advice to private companies on change-of-control transactions or supporting others in the provision of that advice.

Role description

Reporting to the Director of RM2 Corporate Finance, you will ideally have worked in a corporate finance advisory firm or in the corporate finance practice of an accounting firm. Your clients will have been private companies and SMEs. You will have been involved in change-of-control transactions such as trade sales, private equity investments, management buyouts or major capital re-organisations.

You will have demonstrated a well-rounded understanding of corporate finance practice. You should be comfortable with the preparation of detailed financial models using Microsoft Excel, and with the financial structuring of transactions.

Our team focuses on advising entrepreneurs and business owners throughout the EOT transaction process, including initial feasibility analyses, structuring transactions, raising appropriate third-party debt and equity, structuring vendor loans, overseeing the due diligence process and project managing the process leading to completion.

On a day to day basis, the role will include providing strategic corporate finance advice, assisting with valuations and financial modelling work as part of the initial feasibility analyses, preparing information memoranda used to raise capital (including an initial credit assessment), participating in initial lender meetings, coordinating due diligence and assisting with transaction negotiations.

You should have the ability to work independently and flexibly, to multi-task and to work under pressure with accuracy and focus. This role has exposure to a wide range of corporate finance activities and provides the right candidate with the ability to grow professionally in numerous areas.

As you will be involved regularly in meetings with prospects and clients, you will also possess strong interpersonal skills. You will also be involved in preparing pitch material and client proposals as part of our initial transaction feasibility analyses, for which you should be proficient in Microsoft Powerpoint and Word, with a keen eye for detail.

You should be comfortable working in a small team and dealing with small and medium sized business clients and their owners.

You should demonstrate a belief in and a commitment to our mission of spreading wealth and capital through employee share ownership.

Location

RM2’s office is in New Malden, Surrey (20 minutes from London Waterloo). This is envisaged as a full-time, office-based post. There will be the opportunity to work regularly in central London as we utilise shared office space in the West End. The RM2 office has an open and friendly atmosphere and employees are given a high level of autonomy.
