Legal services
RM2 provides all legal drafting including scheme documentation, resolutions and minutes for shareholders, trustees and boards, and the drafting or modification of articles and shareholder agreements as required. For larger clients, RM2 advises on governance issues such as the Combined Code, the ABI Guidelines and the latest Companies Act reporting requirements. RM2’s services are informed by an unrivalled knowledge base of more than 700 successfully completed employee share schemes.
Accounting and expensing
Through our subsidiary the Share Valuation Centre Ltd, RM2 has carried out many hundreds of successful valuation negotiations with HM Revenue & Customs and has developed excellent relationships with the relevant officials. RM2 can also provide detailed advice on accounting treatment and options expensing.
Administration services
To the best of our knowledge, RM2 is the only firm which offers the full range of legal and accounting services together with a comprehensive administration service. We administer every type of employee share scheme, taking care of leavers, joiners, re-grants, changes to scheme design, statutory returns, benefit statements, and the implications of exit events such as sale or flotation. We act as trustees for more than 100 employee benefit trusts.
