Nigel Mason

Nigel Mason 

Director 

A mathematician by training, Nigel's early career was in banking. He became interested in employee ownership and, in 1991, co-founded Capital Strategies, a corporate finance adviser specialising in employee buyouts.

He was a member of the HMRC Advisory Group which designed the SIP and EMI schemes, and led the employee share plans business of Equiniti from 2002 to 2009. From 2009 he was policy director for the Employee Ownership Association (EOA).

In 2010, he founded a new consumer-owned energy supplier called Co-operative Energy, before returning to advising private companies on employee ownership.

Sarah Anderson

Sarah Anderson

Director

Sarah is a solicitor with over 10 years' experience in the design and implementation of share schemes and a particular interest in establishing share ownership for employees in privately owned companies.

Sarah is passionate about employee share ownership and throughout her career has experience of working with all types of company to engage and motivate their employees.

Sarah has worked with several of the leading share plans practitioners, including a period with the Office of Tax Simplification when she advised on policy relating to the simplification of tax legislation governing share schemes, producing reports and final recommendations.

Becky Mitchell

Becky Mitchell

Senior Client Manager

An Associate of the Institute of Chartered Secretaries and Administrators, Becky has worked at RM2 for almost 10 years.

She began her career within share plan administration where she developed extensive knowledge of the industry and a valuable insight into the operational requirements of our clients; later moving into working with clients to design and implement their chosen share plan.

From consulting surrounding executive rewards, through to maintaining existing arrangements and compliance; Becky is involved with all aspects of share plans including share valuation negotiations with HMRC and taxation as well as scheme documentation.

Ruth Woofindin

Ruth Wooffindin 

Associate 

Ruth is a solicitor with nearly 20 years' experience in the design and implementation of employee share plans and employee trusts, most commonly in private companies. She has a particular interest in working with companies which are moving from founder ownership towards substantial employee ownership.

Ruth has worked with several share plans practitioners in London and the North of England, working with RM2 since the beginning of 2015.

She is a long-standing trustee of the Eaga Trust, one of the largest private company employee benefit trusts by value in the UK.

Robin Hartley

Robin Hartley

Associate 

A qualified solicitor of 10 years, Robin has been heavily involved in tax and employee share schemes since pre-qualification. He trained as a solicitor with Linklaters, then moved to PwC as a senior associate adviser to external clients and technical support to internal specialists. He then moved to Travers Smith where he specialised in share offers and EBTs for private equity companies, long-term all-employee incentives for FTSE 350 companies, advising trustees in relation to transactions and litigation and, the incentive/employment tax aspects of public and private transactions.

Robin is our entrepreneur in residence, pursuing two exciting new business ventures alongside his day job at RM2.

Stuart Hale

Stuart Hale

Associate 

Stuart has been involved in corporate tax and employee share schemes since 2000, most recently as Share Schemes Manager at accounting firm Mazars, where he led a team of advisors specialising in employee incentive arrangements including EMI, CSOP, growth shares and ESS. He advised small entrepreneurial companies and AIM clients as well as multi-nationals. He qualified as a solicitor with City law firm CMS Cameron McKenna. 

He is a named contributor to the PLC Tax Manual on Management Buy-outs and the PLC Private Equity Manual.

Ian Murphie 

Consultant 

Ian qualified as a barrister in 1995 specialising in tax and employee share schemes for private companies. He now provides a flexible, expert consultancy service to RM2 clients, with a particular emphasis on international share plans and smaller listed companies.

Earlier in his career, he worked full time for RM2 as trustee director. He has also worked at a senior level in the tax departments of BDO and Baker Tilly.

He currently chairs the SME Group of ifs ProShare, the not-for-profit organisation which promotes and campaigns for wider employee share ownership in listed companies.

Jeremy Glover

Associate 

A qualified solicitor of 20 years, Jeremy is a former partner at top US and UK law firms and has headed up top level incentive practices for over 12 years; experienced in advising businesses on the commercial, legal and tax issues related to employee incentives, M&A, IPO’s, private equity, corporate governance and employment law.

 Jeremy is a recognised expert in the field; listed by Chambers and Legal 500 as such. Jeremy advises boards, companies, management and investors on appropriate remuneration arrangements designed to align the interests of all key stakeholders of highly performing businesses.

Dan Pipe

Associate 

Dan has a background in corporate tax and focuses on employment tax including executive incentives, employment-related securities, employee benefit trusts and disguised remuneration rules. His clients include entrepreneurs, owner managed businesses and private equity investors, including their portfolio acquisitions, disposals and fund work.

He is a regular contributor to key industry publications and conferences. He sits on the Law Society Income Tax Sub-Committee and is an active member of the Share Plan Lawyers Group.

Dan is also heavily involved in training and mentoring junior lawyers wishing to specialise in employment tax practice.

Mary Kelly

Mary Kelly

Office Manager

Mary has been with RM2 since 2002 and has extensive experience of managing accounts, invoices, and working on other credit control tasks as well as involvement in HR – looking after staff contracts, welfare, benefits and conducting/planning other staff management tasks together with a good knowledge of company health and safety laws and procedures, employment laws and other policies.

Prior to joining RM2, Mary spent almost 15 years at Hammersmith Hospital Trust where she developed her supervisory and management skills which today she uses in the maintenance and smooth operation of our busy offices.

Caroline Parker

Manager - Operations

After graduating with a degree in Business Studies and joined the RM2 team in March 2008, Caroline joined RM2 as one of our expert Share Plan Administrators and further developed her knowledge and expertise, leading to her appointment as Operations Manager in 2011.

Caroline is now responsible for RM2's Operations function which is responsible for all aspects of share scheme administration and maintenance phases of the share schemes and trust implemented by RM2 including the registers, statutory returns, notices and filings and ensures the smooth running of all RM2's employee share schemes and employee trusts.

Rachel Doex

Rachel Doex

Assistant Manager - Operations

Rachel joined in April 2015 as Assistant Manager to our busy Operations Team.

Rachel has a solid background in Company Secretarial and Share Plan Administration, with almost 15 years as Company Secretarial Assistant at WS Atkins plc, focussing on managing the administration of their SIP and executive share schemes.

Rachel has an ICSA Diploma in Company Secretarial Practice and an ICSA Certificate in Employee Share Plans.  She brings with her a proven record of exceptional organisational skills and analysis as well as experience engaging multiple stakeholders at every level of business.

Natasha Clark

Natasha Clark

Senior Share Plan Administrator - Operations

As part of our Operations Team, Natasha is one of the first points of contact for clients who have their share schemes administered by RM2. Natasha also works with new clients during the establishment
of a scheme.

Natasha primarily works on plan documentation, share valuations, liaison and reporting to HMRC as required, completing share scheme annual returns, trust registration and option expensing, as well as assisting with any other in-house accounting or administration as needed.

She also has an AAT Bookkeeping and Computerised Accounts Level 2 qualification.

Hayley Girdler

Hayley Girdler

Share Plan Administrator - Operations

Joining RM2 in March 2015, Hayley plays an integral role in our Operations Team, providing support to our clients.

Hayley's background includes roles within Financial Services in an Administrative capacity which demanded outstanding customer service provision. Hayley's experience encompasses several key abilities including confidentiality, accounting and finance, customer service and providing administrative support which required the highest levels of accuracy and quality; all of which she now brings to RM2.

Hayley will be one of the main points of contact for clients, supporting the implementation and maintenance of new and existing schemes.
